1. Acceptance of Terms

By accessing and using UpPace AI services, you accept and agree to be bound by the terms and provision of this agreement.

2. Service Description

UpPace AI provides AI-powered booking automation services for medspas and aesthetic clinics, including:

  • 24/7 missed call detection and response
  • WhatsApp and SMS integration
  • AI-powered lead qualification
  • Automated booking and calendar integration
  • Deposit collection and payment processing
  • Automated reminder systems

3. Pilot Program

Our £1 pilot program includes:

  • 14-day full access to all features
  • 48-hour setup and implementation
  • Complete support throughout the pilot period
  • Cancel before day 15 and pay £0
  • No long-term commitment required

4. Payment Terms

Payment terms are as follows:

  • Pilot: £1 for 14 days
  • Full Service: £597/month + £297 setup fee
  • All payments processed securely through Stripe
  • Month-to-month billing with no long-term contracts
  • Cancel anytime with 30 days notice

5. Service Level Agreement

We commit to:

  • 48-hour setup time after onboarding completion
  • 99.9% uptime for our core services
  • 24/7 technical support during business hours
  • Regular system updates and improvements

6. Data and Privacy

Your data is protected according to our Privacy Policy. We:

  • Comply with GDPR and UK data protection laws
  • Use clear opt-in language for all communications
  • Provide easy STOP/HELP options for opt-out
  • Implement appropriate security measures
  • Never sell or share your data with third parties

7. Compliance and Regulations

Our service is designed to help you comply with:

  • GDPR (General Data Protection Regulation)
  • PECR (Privacy and Electronic Communications Regulations)
  • WhatsApp Business API terms of service
  • UK telecommunications regulations

8. Client Responsibilities

As a client, you are responsible for:

  • Ensuring compliance with all applicable laws and regulations in your jurisdiction
  • Obtaining necessary permissions for WhatsApp Business API and SMS services
  • Providing accurate and complete information during onboarding
  • Maintaining appropriate insurance coverage for your business operations
  • Ensuring all client communications comply with GDPR and local privacy laws
  • Regular monitoring of automated communications for accuracy and appropriateness

9. Results and Performance

Important: Results may vary significantly based on multiple factors including:

  • Clinic size, location, and market conditions
  • Quality and responsiveness of your existing systems
  • Client demographics and preferences
  • Seasonal variations and market trends
  • Implementation quality and staff training
  • External factors beyond our control

No Guarantees: We do not guarantee specific results, revenue increases, or booking numbers. All performance metrics are estimates based on industry averages and may not reflect your specific situation.

10. Limitation of Liability

Maximum Liability: Our total liability to you for any claims arising from this agreement shall not exceed the total amount paid by you for the service in the 12 months preceding the claim.

Excluded Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data, goodwill, or reputation
  • Business interruption or downtime costs
  • Third-party claims or regulatory penalties
  • Costs of substitute services or products

11. Indemnification

You agree to indemnify and hold harmless UpPace AI from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, violation of these terms, or infringement of any third-party rights.

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, internet outages, or third-party service failures.

13. Termination

Pilot Period: The £1 pilot may be cancelled at any time before day 15 with no charge.

Full Service: Either party may terminate with 30 days written notice. Upon termination:

  • All access to the service will cease immediately
  • Outstanding payments will be due within 30 days
  • Data export will be provided within 30 days of request
  • Confidentiality obligations will continue indefinitely

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
